I am curious on why you would want to overclock CPU. I have a Gen 2 as well. P4 3.2. It handles all games with all setting maxed out such as Doom 3, Far Cry, BF1942, etc.
In my opinion and experiences, I find it easier to fry a cpu and board than say a video card. I would steer away from overclocking.
If you trying to max out for certain games, I would overclock your video card and pick up more ram.
Good luck.

For me, overclocking is a way to get more bang for your buck, in my case a 3.4 850F$B CPU vs. 3.4 800F$B.Plus it raises the excitement levels. You have to remember that the Gen1/2 are Intel Boards. Known to be rock solid, also known to have overclocking features locked. The potential is there, especially given the replacement costs at market rates for northwood s478 800fsb.
My rig currently runs 3.4 steady and has with little to no crashes. IMO, its now quicker to access pages, and loading and running games. Its like a steroids for your PC.
**Precations** If you look at my fan setup, its a bit...extreme. I have active cooling for every known hotspot in case. Thus, my stable overclock, thou weak at best of 3.4 850FSB. Also realize that I have never pushed past this point. My goal was to reach 3.4ghz, and only continue if I was better equipped. Thus the DangerDen Water blocks for the CPU, GPU, and NB. Again, a bit extreme, but given the success of a friend with a similar Intel version mobo...the potential is there.
If your gonna venture into the overclocking realm of a proprietary bios structure, then equip your PC with the Identical Fan setup that I have, and you will minimize a lot of "what if's" along the way. Ive updated the XPS Install Website as well.
Remember its not if you can, its are you equipped to do so...
Good Luck and lets us know if you need any help, T.RoW
